PRIVACY POLICY

This Privacy Policy ("Privacy Policy") constitutes a legally binding privacy notice governing the collection, receipt, access, use, processing, storage, disclosure, transfer, retention and protection of Personal Data and other information by HT Enterprises Private Limited, operating under the brand name SOVAINE ("SOVAINE", "Company", "we", "us" or "our"), in connection with the operation and provision of the SOVAINE website, online store, applications, digital interfaces, products, services, customer support channels and associated functionalities (collectively, the "Services").

The Services are made available through technology and infrastructure provided, in whole or in part, by third-party service providers, including Shopify and other technology, payment, logistics, analytics, security and marketing service providers.

This Privacy Policy is intended to describe, inter alia, the categories of information that may be collected or otherwise processed by or on behalf of SOVAINE, the purposes and circumstances for which such information may be processed, the categories of persons or entities to whom such information may be disclosed, the manner in which such information may be retained and protected, and the rights and choices available to individuals in relation to such information, subject always to applicable law.

This Privacy Policy shall be read together with SOVAINE's Terms of Service, Return & Refund Policy, Shipping Policy, Cookie-related notices and any other policies, notices or contractual terms published on or through the Services.

In the event of any inconsistency between this Privacy Policy and any other SOVAINE policy specifically governing the processing of Personal Data, this Privacy Policy shall prevail solely with respect to matters concerning the collection, processing, use, disclosure, retention and protection of Personal Data, unless otherwise expressly provided or required by applicable law.


1. DEFINITIONS AND INTERPRETATION

For the purposes of this Privacy Policy, unless the context otherwise requires:

1.1 "Applicable Law"

means any applicable statute, enactment, ordinance, rule, regulation, notification, circular, governmental direction, judicial or regulatory order, or other legally enforceable requirement applicable to SOVAINE or the relevant processing activity, including, to the extent applicable, the Digital Personal Data Protection Act, 2023, the rules made thereunder and other applicable Indian data-protection, information-technology, consumer-protection and e-commerce laws and regulations.

1.2 "Personal Data"

means any data about an individual who is identifiable by or in relation to such data, or any equivalent category of personal information recognised under Applicable Law.

1.3 "Processing"

shall include, as applicable, any operation or set of operations performed upon Personal Data, whether or not by automated means, including collection, recording, organisation, structuring, storage, adaptation, alteration, retrieval, consultation, use, disclosure, transmission, dissemination, combination, restriction, deletion or destruction.

1.4 "Data Principal" or "User"

means the individual to whom the Personal Data relates, including a customer, prospective customer, website visitor, account holder or other individual interacting with the Services, as applicable.

1.5 "Service Provider"

means any third party, contractor, vendor, technology provider, payment processor, logistics provider, analytics provider, advertising partner, professional adviser or other entity engaged by or on behalf of SOVAINE in connection with the provision, administration, security or improvement of the Services.

Capitalised terms not otherwise defined herein shall have the meanings assigned to them under Applicable Law, where applicable.


2. SCOPE AND APPLICABILITY

2.1 This Privacy Policy applies to Personal Data processed by or on behalf of SOVAINE in connection with:

(a) access to or use of the SOVAINE website;

(b) browsing, searching or otherwise interacting with the Services;

(c) creation or maintenance of a customer account;

(d) placing, processing, fulfilment, delivery, cancellation or return of an order;

(e) processing of payments and refunds;

(f) customer support, complaints, enquiries and other communications;

(g) participation in promotions, campaigns, surveys or other customer activities;

(h) marketing, advertising, analytics and measurement activities; and

(i) any other interaction with SOVAINE in which Personal Data is provided to, collected by, or otherwise made available to SOVAINE.

2.2 This Privacy Policy does not necessarily apply to third-party websites, applications, payment pages, logistics portals, social-media platforms or other services that are not owned or controlled by SOVAINE, even where such services are accessible through links, integrations or interfaces provided through the Services.

2.3 Users are responsible for reviewing the privacy policies and applicable terms of any third-party service through which Personal Data may be independently processed.


3. CATEGORIES OF PERSONAL DATA COLLECTED OR PROCESSED

Subject to the nature of the User's interaction with the Services and the requirements of Applicable Law, SOVAINE may collect and/or otherwise process the following categories of Personal Data.

3.1 Identity and Contact Information

This may include:

  • Full name;

  • Email address;

  • Mobile or telephone number;

  • Billing address;

  • Shipping or delivery address;

  • Account identifiers;

  • Information provided for customer verification; and

  • Other contact particulars voluntarily provided by the User.

3.2 Account and Authentication Information

Where an account is created or maintained, this may include:

  • Email address or account identifier;

  • Login credentials;

  • Account preferences;

  • Saved addresses;

  • Account settings; and

  • Other information necessary to administer the User account.

SOVAINE does not intentionally retain plain-text account passwords where such credentials are processed through systems designed to protect them through appropriate security mechanisms.

3.3 Order and Transaction Information

This may include:

  • Products viewed, selected, purchased, returned or cancelled;

  • Product variants, sizes and quantities;

  • Order numbers;

  • Transaction values;

  • Discounts and promotional codes;

  • Order status;

  • Return and refund information;

  • Cancellation information;

  • Delivery and tracking information;

  • Customer service records associated with an order; and

  • Other information reasonably necessary to administer a transaction.

3.4 Payment and Financial Transaction Information

Payment transactions may be processed through third-party payment service providers, including Razorpay and other payment providers made available through the Services.

SOVAINE may receive or process transaction-related information such as:

  • Payment status;

  • Transaction reference numbers;

  • Payment method;

  • Payment confirmation;

  • Refund status;

  • Limited payment-related identifiers; and

  • Other information required for reconciliation, fraud prevention, customer support and transaction administration.

SOVAINE does not intentionally store complete credit-card numbers, debit-card numbers, banking credentials, UPI credentials or other sensitive payment authentication information on its own systems where such information is processed directly by a payment service provider.

The processing of payment information by such third-party providers shall additionally be governed by their respective privacy policies, terms and applicable legal requirements.

3.5 Communications and Customer Support Information

Where a User communicates with SOVAINE, we may process:

  • The contents of communications;

  • Email address;

  • Telephone number;

  • Order details;

  • Attachments, photographs or other evidence submitted in connection with a complaint, return or support request; and

  • Other information voluntarily provided by the User.

3.6 Device, Technical and Log Information

When a User accesses the Services, certain information may be collected automatically, including:

  • Internet Protocol ("IP") address;

  • Browser type and version;

  • Device type and operating system;

  • Network information;

  • Referring and exit pages;

  • Date and time of access;

  • Session information;

  • Approximate geographic information derived from technical information;

  • Unique device or browser identifiers; and

  • Technical logs and diagnostic information.

3.7 Usage, Analytics and Interaction Information

Subject to applicable consent and legal requirements, SOVAINE and its Service Providers may collect information concerning interaction with the Services, including:

  • Pages viewed;

  • Products viewed;

  • Searches;

  • Add-to-cart activity;

  • Checkout activity;

  • Purchase activity;

  • Referral sources;

  • Advertising interactions;

  • Website navigation patterns;

  • Conversion information; and

  • Other interaction or engagement information.


4. SOURCES OF PERSONAL DATA

Personal Data may be obtained from one or more of the following sources:

4.1 Directly from the User

Including when the User:

  • creates an account;

  • places an order;

  • submits information at checkout;

  • communicates with SOVAINE;

  • requests a return, refund or cancellation;

  • subscribes to communications;

  • participates in a promotion or survey; or

  • otherwise voluntarily provides information.

4.2 Automatically Through the Services

Including through cookies, pixels, tags, logs, SDKs, analytics technologies and similar mechanisms deployed on or in connection with the Services.

4.3 From Service Providers

Including payment processors, logistics providers, ecommerce infrastructure providers, analytics providers, security providers and other vendors engaged in providing Services to SOVAINE.

4.4 From Third Parties and Partners

Where lawfully available, SOVAINE may receive information from advertising, marketing, social-media, analytics or other technology partners.


5. PURPOSES OF PROCESSING

SOVAINE may process Personal Data for the following purposes, subject to Applicable Law and the applicable legal basis for such processing.

5.1 Order Administration and Contractual Performance

To:

(a) process and administer orders;

(b) authenticate and administer accounts;

(c) process payments;

(d) confirm transactions;

(e) arrange fulfilment and shipment;

(f) facilitate delivery and tracking;

(g) process cancellations, returns and refunds;

(h) provide customer support; and

(i) otherwise perform obligations arising from transactions entered into with the User.

5.2 Operation and Improvement of Services

To:

(a) maintain and operate the Services;

(b) diagnose technical issues;

(c) improve website functionality;

(d) analyse usage patterns;

(e) improve products and customer experience;

(f) personalise or customise aspects of the Services; and

(g) develop, test and improve business processes and technologies.

5.3 Analytics and Measurement

To measure traffic, engagement, conversions, transaction performance and other characteristics of the Services, including through third-party analytics services such as Google Analytics.

5.4 Marketing and Advertising

Subject to Applicable Law and, where required, the User's consent or other lawful basis, Personal Data and usage information may be processed to:

(a) communicate promotional offers;

(b) conduct marketing campaigns;

(c) measure advertising effectiveness;

(d) create or use advertising audiences;

(e) provide relevant advertisements;

(f) conduct conversion measurement and attribution; and

(g) improve advertising and marketing performance.

SOVAINE may utilise technologies and services provided by platforms including Meta and Google for such purposes.

5.5 Fraud, Abuse and Security

To:

(a) detect and prevent fraudulent transactions;

(b) identify suspicious or unauthorised activity;

(c) protect accounts and systems;

(d) investigate security incidents;

(e) prevent misuse of the Services; and

(f) protect SOVAINE, Users, Service Providers and other persons against unlawful, fraudulent, malicious or harmful conduct.

5.6 Legal and Regulatory Compliance

To comply with Applicable Law and legally enforceable requirements, including tax, accounting, consumer-protection, e-commerce, financial, regulatory and law-enforcement requirements.

5.7 Protection and Enforcement of Rights

To establish, exercise, protect or defend the rights, property, interests or legal position of SOVAINE, its Users, affiliates, Service Providers or other persons, including in connection with disputes, investigations or legal proceedings.


6. LEGAL BASIS AND CONSENT

6.1 SOVAINE shall process Personal Data only where such processing is permitted under Applicable Law.

6.2 Depending upon the nature and circumstances of processing, the processing of Personal Data may be undertaken:

(a) pursuant to the User's valid consent;

(b) for provision of goods or services requested by the User;

(c) for performance of a transaction or fulfilment of an obligation arising therefrom;

(d) for compliance with a legal obligation;

(e) for security, fraud prevention or other purposes permitted by Applicable Law; or

(f) pursuant to any other lawful basis available to SOVAINE under Applicable Law.

6.3 Where consent constitutes the applicable legal basis, SOVAINE shall seek such consent in accordance with Applicable Law.

6.4 Where processing is based on consent, the User may withdraw such consent in accordance with the mechanism made available by SOVAINE, subject to the consequences and limitations permitted by Applicable Law.

6.5 Withdrawal of consent shall not affect the lawfulness of processing carried out prior to such withdrawal and shall not prevent SOVAINE from continuing processing where another lawful basis or legal obligation applies.


7. COOKIES, PIXELS AND SIMILAR TECHNOLOGIES

7.1 SOVAINE may employ cookies, web beacons, pixels, tags, scripts, SDKs, local storage and other substantially similar technologies ("Tracking Technologies") for legitimate operational, analytical, security, personalisation and marketing purposes.

7.2 Tracking Technologies may be deployed by SOVAINE or by authorised third-party Service Providers.

7.3 Such technologies may facilitate:

(a) authentication and session management;

(b) shopping-cart functionality;

(c) security and fraud prevention;

(d) analytics;

(e) conversion measurement;

(f) advertising attribution;

(g) audience creation;

(h) website performance analysis; and

(i) other functions necessary or beneficial to the operation and improvement of the Services.

7.4 Users may have the ability to restrict or disable certain Tracking Technologies through browser or device controls. Such restriction may impair or prevent the proper functioning of portions of the Services.

7.5 Where Applicable Law requires prior consent for specific categories of Tracking Technologies, SOVAINE shall implement appropriate consent mechanisms to the extent applicable.


8. DISCLOSURE AND SHARING OF PERSONAL DATA

SOVAINE may disclose or make Personal Data available to third parties where reasonably necessary for the purposes described in this Privacy Policy and subject to Applicable Law.

Such recipients may include:

8.1 Shopify and Technology Infrastructure Providers

SOVAINE's ecommerce infrastructure is supported by Shopify and related technology providers. Such providers may process Personal Data as necessary to provide hosting, ecommerce, security, account, transaction and other technical services.

8.2 Payment Service Providers

Personal Data and transaction information may be shared with Razorpay and other payment providers for transaction processing, authentication, settlement, reconciliation, fraud prevention, refunds and related purposes.

8.3 Logistics and Shipping Providers

Personal Data necessary to fulfil an order may be disclosed to Shiprocket and relevant courier or logistics partners, including information such as:

  • Customer name;

  • Contact number;

  • Delivery address;

  • Order details;

  • Shipment information; and

  • Tracking information.

Such disclosure is necessary for fulfilment and delivery of purchased products.

8.4 Analytics Providers

SOVAINE may provide or permit access to relevant information to analytics providers, including Google Analytics and similar services, for measurement, reporting and optimisation.

8.5 Advertising and Marketing Providers

Where permitted by Applicable Law, information may be processed through advertising and marketing platforms, including Meta and Google, for advertising delivery, audience creation, attribution, measurement and campaign optimisation.

8.6 Professional Advisers and Service Providers

Information may be disclosed to professional advisers and vendors providing accounting, legal, tax, technical, security, customer support, cloud infrastructure and other business services.

8.7 Corporate Transactions

Personal Data may be transferred or disclosed in connection with any proposed or completed merger, acquisition, restructuring, financing, sale, transfer of assets, reorganisation or similar corporate transaction, subject to Applicable Law.

8.8 Governmental and Legal Authorities

Personal Data may be disclosed where SOVAINE reasonably determines that such disclosure is required or permitted by Applicable Law, including pursuant to lawful governmental requests, judicial orders, regulatory directions, subpoenas or other legally enforceable processes.


9. THIRD-PARTY PROCESSORS AND INDEPENDENT PRIVACY PRACTICES

9.1 Third-party Service Providers may process Personal Data independently or on behalf of SOVAINE, depending upon the nature of the applicable relationship.

9.2 SOVAINE endeavours to engage reputable Service Providers and, where appropriate, require reasonable contractual, organisational or technical safeguards.

9.3 Notwithstanding the foregoing, third-party services may be governed by separate terms and privacy policies, and SOVAINE shall not be responsible for processing carried out independently by a third party outside SOVAINE's reasonable control.

9.4 Users are advised to review the privacy policies applicable to third-party services before providing information directly to such third parties.


10. SHOPIFY AND PLATFORM PROCESSING

10.1 The SOVAINE ecommerce environment utilises Shopify infrastructure and services.

10.2 Shopify may independently process Personal Data in connection with the provision, maintenance, security, improvement and administration of Shopify's services.

10.3 Information submitted through SOVAINE's Services may therefore be transmitted to or processed by Shopify and its relevant infrastructure and Service Providers.

10.4 Shopify's independent processing of Personal Data is subject to Shopify's applicable privacy documentation and policies.

Users may review Shopify's privacy information through its official privacy resources.


11. INTERNATIONAL DATA TRANSFERS

11.1 Certain Service Providers engaged by SOVAINE may maintain infrastructure or process information outside India.

11.2 Accordingly, Personal Data may be transferred to, stored in, or processed in jurisdictions other than the jurisdiction in which the User resides.

11.3 Where Applicable Law imposes requirements concerning cross-border transfers, SOVAINE shall implement such safeguards, contractual arrangements, transfer mechanisms or other measures as may be required.

11.4 By using the Services, the User acknowledges that service providers engaged by SOVAINE may process information in jurisdictions outside India, subject to the safeguards and legal requirements applicable to such processing.


12. DATA RETENTION

12.1 SOVAINE shall retain Personal Data only for such period as is reasonably necessary to fulfil the purposes for which it was collected or otherwise processed, or for such longer period as may be required or permitted by Applicable Law.

12.2 Factors relevant to determining retention periods may include:

(a) the nature and purpose of the processing;

(b) the existence of an ongoing customer relationship;

(c) statutory, tax, accounting or regulatory retention obligations;

(d) requirements relating to dispute resolution;

(e) fraud prevention and security requirements;

(f) enforcement of contractual rights; and

(g) legitimate business requirements permitted by Applicable Law.

12.3 Upon expiry of the applicable retention period, SOVAINE shall take reasonable steps to delete, anonymise or otherwise dispose of Personal Data, subject to technical, legal or operational limitations.


13. DATA SECURITY

13.1 SOVAINE shall maintain reasonable technical and organisational safeguards intended to protect Personal Data against unauthorised access, misuse, alteration, disclosure, destruction or loss.

13.2 Depending upon the nature of the information and processing environment, such safeguards may include:

(a) access controls;

(b) authentication mechanisms;

(c) restricted administrative access;

(d) security monitoring;

(e) vendor controls;

(f) appropriate encryption or equivalent protective measures where applicable;

(g) system and infrastructure safeguards; and

(h) incident-response and recovery procedures.

13.3 Notwithstanding the foregoing, no electronic transmission, storage system or security mechanism can be represented as completely secure or incapable of compromise.

13.4 Accordingly, SOVAINE does not warrant or guarantee absolute security of Personal Data, although it shall take measures reasonably appropriate to the nature and risks associated with the processing.


14. USER RESPONSIBILITIES

14.1 Users shall be responsible for maintaining the confidentiality of their account credentials and shall not knowingly disclose such credentials to unauthorised persons.

14.2 Users shall promptly notify SOVAINE of any suspected unauthorised access, compromise or misuse of their account.

14.3 Users shall ensure that information submitted to SOVAINE is accurate, current and not misleading, particularly where such information is required for order fulfilment, payment, delivery or legal compliance.


15. CHILDREN'S DATA

15.1 The Services are intended for general consumers and are not specifically directed towards children.

15.2 SOVAINE does not knowingly seek to collect Personal Data from children in circumstances where such collection is prohibited under Applicable Law.

15.3 Where Applicable Law requires verifiable parental or guardian consent for the processing of a child's Personal Data, SOVAINE shall apply the safeguards and consent mechanisms required by such law.

15.4 If a parent or lawful guardian believes that Personal Data relating to a child has been provided to SOVAINE in circumstances contrary to Applicable Law, such person may contact SOVAINE using the details set out in this Privacy Policy.


16. RIGHTS OF DATA PRINCIPALS AND USERS

Subject to Applicable Law, a Data Principal/User may have certain rights concerning Personal Data processed by SOVAINE, including, where applicable:

(a) the right to obtain information concerning processing;

(b) the right to request correction or updating of inaccurate or incomplete Personal Data;

(c) the right to request deletion or erasure where legally applicable;

(d) the right to withdraw consent where processing is based upon consent;

(e) the right to nominate or authorise another person where such right is recognised by Applicable Law;

17.2 SOVAINE may require reasonable information or documentation to verify the identity and authority of the person making a request before acting upon the request.

17.3 Such verification is intended to prevent unauthorised disclosure, alteration or deletion of Personal Data.

17.4 SOVAINE shall endeavour to respond to valid requests within the period prescribed by Applicable Law.

17.5 Where SOVAINE is legally entitled or required to refuse a request, it may do so and, where legally required, communicate the applicable reason.


18. MARKETING COMMUNICATIONS

18.1 Subject to Applicable Law and the applicable consent or lawful basis, SOVAINE may communicate with Users for promotional and marketing purposes through email, SMS or other communication channels.

18.2 Users may opt out of promotional communications through the unsubscribe mechanism contained in the relevant communication or by contacting SOVAINE.

18.3 Withdrawal from marketing communications shall not affect transactional or service-related communications reasonably necessary to:

(a) process an order;

(b) confirm payment;

(c) provide shipping or delivery information;

(d) administer a return or refund;

(e) maintain account security; or

(f) communicate material service-related notices.


19. THIRD-PARTY LINKS AND SOCIAL FEATURES

19.1 The Services may contain links, embedded content, social-media functionality, payment interfaces, advertisements or other integrations operated by third parties.

19.2 SOVAINE does not control the privacy practices, security practices or content of third-party services.

19.3 Access to or use of such third-party services shall be governed by the terms and privacy policies applicable to those services.

19.4 SOVAINE's inclusion of a third-party link or integration shall not, by itself, constitute an endorsement of that third party's privacy practices or policies.


20. GRIEVANCE REDRESSAL

20.1 Any complaint, grievance, request or concern concerning the processing of Personal Data by SOVAINE may initially be directed to the contact details specified below.

20.2 SOVAINE shall endeavour to review and address such grievance in accordance with Applicable Law and its internal grievance-handling procedures.

20.3 Where Applicable Law provides an individual with a right to approach a competent governmental authority, regulator, tribunal or other statutory body, nothing in this Privacy Policy shall be construed as limiting such right.


21. LIMITATION REGARDING THIRD-PARTY PROCESSING

To the maximum extent permitted by Applicable Law, SOVAINE shall not be responsible for the independent collection, use, processing, retention or disclosure of Personal Data undertaken by third parties acting outside the scope of services provided to SOVAINE, including where the User independently interacts with such third party, provides information directly to such third party, or accesses third-party services through an external interface.

Nothing contained herein shall exclude or limit any liability that cannot lawfully be excluded or limited under Applicable Law.


22. CHANGES TO THIS PRIVACY POLICY

22.1 SOVAINE reserves the right to amend, modify, supplement or otherwise update this Privacy Policy from time to time in order to reflect:

(a) changes in Applicable Law;

(b) changes to regulatory requirements;

(c) changes in technology;

(d) changes to the Services;

(e) changes in SOVAINE's business or data-processing practices;

(f) changes in third-party Service Providers; or

(g) other operational, commercial or legal requirements.

22.2 The revised Privacy Policy shall be published on the Services together with an updated "Last Updated" date.

22.3 Where Applicable Law requires additional notice or consent in respect of a material change, SOVAINE shall undertake such additional measures as may be required.


23. SEVERABILITY

If any provision or portion of this Privacy Policy is determined by a competent authority to be invalid, unlawful or unenforceable, such provision shall, to the extent required, be severed or modified without affecting the validity and enforceability of the remaining provisions.


24. NO WAIVER

Any failure or delay by SOVAINE in exercising or enforcing any right, remedy or provision under this Privacy Policy shall not constitute a waiver of such right, remedy or provision, nor shall any single or partial exercise thereof preclude any further exercise of the same or any other right or remedy.


25. GOVERNING LAW AND JURISDICTION

This Privacy Policy and any dispute, claim or matter arising out of or relating to the processing of Personal Data by SOVAINE shall, to the extent permissible under Applicable Law, be governed by the laws of India.

Subject to any mandatory statutory jurisdiction, regulatory mechanism or dispute-resolution process applicable to a Data Principal or User, disputes arising in connection with this Privacy Policy shall be subject to the jurisdiction of the competent courts and authorities having jurisdiction over SOVAINE's principal place of business.

Nothing contained herein shall be interpreted as restricting any mandatory statutory right or remedy available to a Data Principal under Applicable Law.

27. ACKNOWLEDGEMENT

By accessing or using the Services, the User acknowledges that the User has had an opportunity to review this Privacy Policy and understands that Personal Data may be processed for the purposes and in the circumstances described herein, subject to Applicable Law and any consent requirements applicable to the relevant processing activity.

Where consent is legally required, continued use of the Services shall not, by itself, be construed as a substitute for any specific consent mechanism required under Applicable Law.
