TERMS OF SERVICE

1. PREAMBLE, SCOPE AND ACCEPTANCE
These Terms of Service ("Terms", "Terms of Service" or "Agreement") constitute a legally binding agreement between HT Enterprises Private Limited, a company incorporated under the laws of India and operating its online fashion and lifestyle business under the brand name SOVAINE ("SOVAINE", "Company", "we", "us" or "our"), and any person accessing, browsing, registering with, purchasing from or otherwise interacting with the SOVAINE website, online store, digital interfaces, products, content, features, applications and related services (collectively, the "Services").
SOVAINE's ecommerce infrastructure is supported by Shopify and other third-party technology, payment, logistics, analytics, security and service providers. Notwithstanding the foregoing, any purchase of products made through the Services constitutes a transaction between the customer and SOVAINE, unless expressly stated otherwise.
These Terms shall be read in conjunction with and shall incorporate, to the extent applicable, the policies and notices published by SOVAINE from time to time, including:

applicable promotional terms;

product-specific terms;

payment-related terms; and
-
any other policies expressly incorporated by reference.
By accessing, browsing, registering for, purchasing from or otherwise using the Services, you ("User", "Customer", "you" or "your") acknowledge that you have read, understood and agreed to be legally bound by these Terms and the policies incorporated herein.
If you do not agree to these Terms, you must discontinue access to and use of the Services.
Where you use the Services on behalf of another person or legal entity, you represent and warrant that you have the requisite authority to bind such person or entity to these Terms.
2. DEFINITIONS AND INTERPRETATION
For purposes of these Terms:
2.1 "Account"
means any customer account, profile or login credentials created or maintained in connection with the Services.
2.2 "Content"
means all text, information, descriptions, photographs, images, graphics, designs, logos, trademarks, videos, audio, software, code, product information, reviews and other material made available through the Services.
2.3 "Product"
means any apparel, accessory, merchandise or other product offered for sale by SOVAINE through the Services.
2.4 "Order"
means a request submitted by a Customer through the Services to purchase one or more Products.
2.5 "Order Confirmation"
means the electronic communication issued by SOVAINE acknowledging receipt or acceptance of an Order, as applicable.
2.6 "Policies"
means the Privacy Policy, Shipping Policy, Return & Refund Policy and other policies or terms expressly incorporated into these Terms.
2.7 "Third-Party Service Provider"
means any independent or contracted third party engaged in connection with the operation of the Services, including payment processors, logistics providers, technology providers, analytics providers, advertising platforms and other vendors.
Unless the context otherwise requires, references to the singular include the plural and vice versa; references to a person include an individual, company, corporation, partnership, association or other legal entity; and references to applicable law include amendments, substitutions, rules, regulations, notifications and subordinate legislation made thereunder.
3. ELIGIBILITY AND USE OF THE SERVICES
3.1 The Services are intended for persons legally capable of entering into binding contracts under applicable Indian law.
3.2 By using the Services, you represent and warrant that:
(a) you possess the legal capacity and authority necessary to enter into these Terms;
(b) all information provided by you is accurate, complete and current;
(c) you will use the Services only for lawful purposes;
(d) you will comply with all applicable laws and regulations; and
(e) you will not use the Services for any fraudulent, abusive, unlawful or unauthorised purpose.
3.3 Where a person below the applicable age of majority accesses the Services, such access shall occur only under the supervision and responsibility of a parent or lawful guardian, to the extent permitted by applicable law.
3.4 SOVAINE reserves the right, where reasonably necessary and legally permissible, to refuse access, suspend accounts or decline transactions where it reasonably believes that eligibility requirements have not been satisfied.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Certain features of the Services may require the creation of an Account or submission of customer information.
4.2 You agree to provide information that is true, accurate, complete and not misleading and to promptly update such information where it becomes inaccurate or incomplete.
4.3 You are responsible for maintaining the confidentiality of your Account credentials and for activities conducted through your Account, except to the extent attributable to a security failure for which SOVAINE is legally responsible.
4.4 You shall not:
(a) impersonate another person;
(b) create an Account using another person's identity or credentials;
(c) transfer, sell, assign or otherwise commercially exploit an Account;
(d) permit unauthorised persons to access your Account; or
(e) circumvent any authentication or security mechanism implemented by SOVAINE.
4.5 You shall promptly notify SOVAINE if you reasonably suspect unauthorised access to your Account.
5. PRODUCT INFORMATION AND AVAILABILITY
5.1 SOVAINE endeavours to ensure that Product descriptions, specifications, photographs, measurements, colours, availability and other information displayed through the Services are accurate and reasonably representative.
5.2 Notwithstanding the foregoing, minor variations may occur due to:
(a) screen and device settings;
(b) lighting and photographic conditions;
(c) manufacturing or material variations;
(d) differences between product batches; or
(e) other circumstances inherent in the presentation or manufacture of apparel and fashion products.
5.3 Product images are intended for illustrative and representational purposes. Actual colours may vary depending upon the User's display, device configuration and environmental conditions.
5.4 Product availability is subject to stock availability and may change without notice.
5.5 SOVAINE reserves the right, subject to applicable law, to:
(a) modify Product descriptions;
(b) discontinue Products;
(c) correct typographical or technical errors;
(d) restrict quantities;
(e) limit availability by geographic location;
(f) impose reasonable purchase limitations; or
(g) withdraw Products from sale.
5.6 Nothing in this section shall operate to exclude or restrict any statutory consumer right or remedy that cannot lawfully be excluded or restricted.
6. PRODUCT PRICING
6.1 Prices displayed through the Services shall be those applicable at the time of purchase, unless otherwise expressly stated.
6.2 Prices may be displayed together with applicable taxes, discounts, promotional reductions or other charges in accordance with applicable law.
6.3 Shipping, delivery, COD, handling or other charges, where applicable, shall be disclosed to the Customer before completion of the relevant transaction.
6.4 SOVAINE reserves the right to modify prices, discounts, promotional offers and Product pricing structures at any time prior to acceptance of an Order.
6.5 A price change occurring after an Order has been validly accepted shall not, except where required by law or where the Order is cancelled due to an objectively erroneous price or other material error, retrospectively alter the agreed purchase price.
6.6 Promotional offers may be subject to separate terms and conditions. In the event of an inconsistency between these Terms and a specific promotional offer, the specific promotional terms shall govern solely with respect to that promotion.
7. ORDERS AND ORDER ACCEPTANCE
7.1 Submission of an Order through the Services constitutes an offer by the Customer to purchase the selected Products subject to these Terms.
7.2 Receipt of an electronic Order acknowledgement shall not necessarily constitute final acceptance of the Order unless expressly stated to constitute acceptance.
7.3 SOVAINE reserves the right, subject to applicable law, to accept, reject, partially fulfil or cancel an Order where there is a legitimate reason, including:
(a) Product unavailability;
(b) pricing or listing errors;
(c) suspected fraudulent or unauthorised transactions;
(d) technical or system errors;
(e) inability to verify payment;
(f) delivery-service limitations;
(g) suspected abuse of promotional offers;
(h) materially inaccurate information supplied by the Customer; or
(i) other circumstances reasonably preventing fulfilment.
7.4 Where SOVAINE cancels an Order after payment has been received, SOVAINE shall initiate the applicable refund in accordance with the applicable refund procedure and Applicable Law.
7.5 SOVAINE may contact the Customer through the contact information supplied at checkout for purposes of order verification, payment confirmation, fulfilment, delivery or customer support.
8. CUSTOMER REPRESENTATIONS REGARDING PURCHASES
8.1 By placing an Order, you represent and warrant that:
(a) you are legally capable of entering into the transaction;
(b) the information supplied by you is accurate and complete;
(c) the payment method used is lawfully available to you;
(d) you are authorised to use the relevant payment method;
(e) the transaction is not being undertaken for fraudulent, unlawful or deceptive purposes; and
(f) unless otherwise expressly agreed by SOVAINE, Products are purchased for personal or household use and not for unauthorised commercial resale.
8.2 SOVAINE may take reasonable measures to prevent bulk purchasing, automated purchasing, fraudulent transactions, promotional abuse or other conduct that may materially interfere with the legitimate use of the Services.
9. PAYMENT TERMS
9.1 Payments may be processed through third-party payment service providers, including Razorpay and other payment providers made available through the Services.
9.2 By submitting payment information, you represent and warrant that you are authorised to use the relevant payment method.
9.3 Payment processing may be subject to the terms, conditions and privacy practices of the applicable payment provider.
9.4 SOVAINE does not intentionally store complete payment-card credentials where such information is processed directly by an independent payment processor.
9.5 An Order may be placed on hold, rejected or cancelled where payment is declined, reversed, disputed, suspected to be fraudulent or otherwise cannot be successfully verified or settled.
9.6 The Customer shall remain responsible for all valid charges associated with an accepted Order, including applicable Product prices, taxes and disclosed delivery or handling charges.
10. TAXES, DUTIES AND STATUTORY CHARGES
10.1 Applicable taxes, including Goods and Services Tax ("GST") or other legally applicable charges, shall be applied and disclosed in accordance with Applicable Law.
10.2 Where applicable, tax invoices shall be issued in accordance with statutory requirements.
10.3 Any customs duties, import duties, levies or similar charges applicable to international shipments, where SOVAINE expressly offers international shipping, shall be governed by the applicable shipping and transaction terms.
10.4 Nothing in these Terms shall be interpreted as excluding any tax, statutory levy or consumer charge required by law.
11. SHIPPING, DELIVERY AND LOGISTICS
11.1 SOVAINE may engage third-party logistics and courier providers, including Shiprocket and its associated courier partners, to fulfil and deliver Orders.
11.2 Delivery estimates displayed through the Services or communicated to Customers are estimates and may vary depending upon:
(a) destination and serviceability;
(b) courier availability;
(c) shipment volume;
(d) weather conditions;
(e) public holidays;
(f) operational disruptions;
(g) transportation conditions;
(h) force majeure events; and
(i) other circumstances beyond SOVAINE's reasonable control.
11.3 SOVAINE shall use commercially reasonable efforts to facilitate delivery in accordance with the applicable Shipping Policy.
11.4 Delivery dates shall not constitute absolute guarantees unless expressly stated otherwise.
11.5 The Customer shall be responsible for providing accurate and complete delivery information and for ensuring that the delivery location is accessible and serviceable.
11.6 Where delivery fails due to inaccurate address information, repeated failed delivery attempts, refusal to accept the shipment or circumstances attributable to the Customer, additional charges or other consequences may apply subject to Applicable Law and the applicable Shipping Policy.
11.7 SOVAINE shall not be responsible for delays caused exclusively by third-party logistics providers or circumstances beyond SOVAINE's reasonable control, provided that nothing herein excludes liability that cannot lawfully be excluded.
11.8 Risk allocation relating to Products shall be determined in accordance with Applicable Law and the applicable transaction and delivery circumstances and shall not be construed as excluding statutory consumer protections.
12. RETURNS, REFUNDS AND CANCELLATIONS
12.1 Returns, refunds and cancellations shall be governed by SOVAINE's prevailing Return & Refund Policy, which is incorporated into these Terms by reference.
12.2 Nothing in these Terms shall restrict any statutory consumer right, warranty, guarantee or remedy that cannot lawfully be excluded or restricted.
12.3 The Customer acknowledges that Products may be subject to inspection following return and that eligibility for a return or refund may depend upon compliance with the applicable Return & Refund Policy.
12.4 SOVAINE reserves the right to reject returns that do not satisfy the applicable eligibility requirements, subject to Applicable Law.
12.5 Refunds shall be processed through the applicable payment mechanism or other lawful method in accordance with the Return & Refund Policy.
13. INTELLECTUAL PROPERTY RIGHTS
13.1 Unless expressly stated otherwise, all intellectual property rights subsisting in or relating to the Services and their Content, including:

trademarks;

trade names;
-
logos;
-
brand elements;
-
product names;
-
photographs;
-
graphics;
-
designs;
-
written material;
-
videos;
-
audio;
-
software;
-
website layouts;
-
compilations;
-
databases;
-
interfaces; and
-
other proprietary material
are owned by, licensed to, or otherwise lawfully controlled by SOVAINE, HT Enterprises Private Limited, its licensors or applicable third parties.
13.2 Nothing contained in these Terms shall operate as a transfer, assignment or grant of ownership in any intellectual property right to the User.
13.3 Subject to compliance with these Terms, SOVAINE grants the User a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Services solely for lawful personal and non-commercial purposes.
13.4 Except as expressly permitted by Applicable Law or with prior written authorisation from SOVAINE, the User shall not:
(a) reproduce or redistribute substantial portions of the Services;
(b) modify or create derivative works from the Content;
(c) commercially exploit the Content;
(d) systematically download or archive Content;
(e) reproduce Product photographs or descriptions for commercial purposes;
(f) remove proprietary notices;
(g) reverse engineer or decompile software forming part of the Services, except to the extent expressly permitted by law; or
(h) otherwise exploit SOVAINE's intellectual property without authorisation.
14. TRADEMARKS AND BRAND ASSETS
14.1 "SOVAINE", associated logos, marks, names, taglines, designs, product identifiers and other brand elements constitute trademarks, trade names or proprietary identifiers of SOVAINE and/or their respective owners.
14.2 No right to use any SOVAINE trademark is granted by these Terms except as expressly authorised in writing.
14.3 Third-party trademarks appearing on the Services remain the property of their respective owners.
15. USER-GENERATED CONTENT AND FEEDBACK
15.1 The Services may permit Users to submit reviews, ratings, comments, photographs, feedback, suggestions or other material ("User Content").
15.2 By submitting User Content, the User represents and warrants that:
(a) the User owns or otherwise possesses sufficient rights to submit such content;
(b) submission does not violate any third-party intellectual property, privacy, publicity or other rights;
(c) the content is not unlawful, fraudulent, defamatory, obscene, abusive, threatening or otherwise prohibited;
(d) the content does not contain malicious code or harmful software; and
(e) the content does not falsely impersonate another person.
15.3 To the extent permitted by law, the User grants SOVAINE a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, reproduce, display, publish, adapt, modify and otherwise use User Content for purposes connected with the operation, promotion, marketing, improvement and administration of the Services.
15.4 The licence described above shall not transfer ownership of User Content to SOVAINE.
15.5 SOVAINE may, but is not obligated to, moderate, remove, restrict or refuse publication of User Content that it reasonably determines violates these Terms, Applicable Law or the rights of any person.
15.6 SOVAINE shall not be obligated to maintain User Content confidential or compensate a User for permitted use of such content, except where otherwise required by Applicable Law or expressly agreed in writing.
16. PROHIBITED CONDUCT
You shall not use, access, interfere with or attempt to exploit the Services for any purpose that is unlawful, fraudulent, malicious or inconsistent with these Terms.
Without limitation, you shall not:
(a) violate Applicable Law;
(b) infringe intellectual property rights;
(c) impersonate another person or entity;
(d) submit false, misleading or fraudulent information;
(e) interfere with the security or operation of the Services;
(f) introduce viruses, malware, malicious scripts or harmful code;
(g) attempt unauthorised access to accounts, systems, databases or infrastructure;
(h) engage in fraudulent transactions;
(i) abuse promotional codes, discounts, refund systems or other commercial mechanisms;
(j) use the Services for unauthorised resale or commercial exploitation;
(k) harvest, scrape, extract or systematically collect information from the Services;
(l) use automated systems, bots, crawlers, spiders, agents or other automated mechanisms to access or interact with the Services except where expressly authorised;
(m) circumvent robots.txt, access controls, CAPTCHA systems, rate limitations or other security mechanisms;
(n) interfere with another person's use of the Services;
(o) transmit unsolicited commercial communications through the Services;
(p) attempt to reverse engineer or compromise the Services; or
(q) engage in conduct reasonably likely to expose SOVAINE, its Service Providers or Users to legal, regulatory, security or operational risk.
17. AUTOMATED SYSTEMS, BOTS AND AI AGENTS
17.1 Unless expressly authorised by SOVAINE, automated systems, bots, crawlers, scraping tools, AI agents and other autonomous or semi-autonomous systems shall not access, extract, reproduce or interact with the Services in a manner that exceeds ordinary human browsing or circumvents technical restrictions.
17.2 For purposes of this section, an "Agent" means software, an automated system or an artificial-intelligence system capable of taking autonomous or semi-autonomous actions on behalf of a person or entity.
17.3 Any authorised Agent shall:
(a) identify itself accurately where technically required;
(b) comply with applicable access-control mechanisms;
(c) not impersonate human interaction;
(d) not circumvent CAPTCHA or anti-bot mechanisms;
(e) not conceal its automated nature where disclosure is technically required;
(f) comply with applicable rate limits and technical restrictions; and
(g) immediately cease access where SOVAINE reasonably requests such cessation.
17.4 SOVAINE may implement technical measures to restrict, limit, monitor or prevent automated access.
17.5 Nothing in this section shall prohibit ordinary search-engine indexing or other automated access expressly permitted by SOVAINE's technical policies.
18. THIRD-PARTY SERVICES AND OPTIONAL TOOLS
18.1 The Services may contain or make available functionality supplied by Third-Party Service Providers.
18.2 Such third-party functionality may include payment services, logistics services, analytics, advertising, social-media integrations, authentication services and other tools.
18.3 SOVAINE does not necessarily control the operation, availability, accuracy, security or terms of such third-party services.
18.4 Use of third-party services may be subject to separate contractual and privacy terms imposed by the relevant provider.
18.5 SOVAINE shall not be responsible for independent acts or omissions of third parties to the extent such matters are outside SOVAINE's reasonable control and subject to Applicable Law.
19. THIRD-PARTY LINKS
19.1 The Services may contain links to websites, applications or resources operated by third parties.
19.2 Such links are provided for convenience and do not constitute an endorsement, representation or warranty by SOVAINE concerning the third-party service.
19.3 If you access a third-party website, you do so at your own discretion and risk.
19.4 Transactions conducted directly with third parties shall be governed by the terms and policies of those third parties.
20. SHOPIFY'S ROLE
20.1 The SOVAINE Services utilise Shopify's ecommerce technology and infrastructure.
20.2 Shopify is a technology and infrastructure provider and is not the seller of Products offered by SOVAINE through the Services.
20.3 Orders and purchases made through the SOVAINE store are transactions between the Customer and SOVAINE.
20.4 Shopify's role, obligations and liabilities are governed by the applicable agreement between Shopify and SOVAINE and Shopify's own terms and policies.
20.5 Nothing in these Terms shall be interpreted as imposing upon Shopify obligations that belong to SOVAINE as the seller of Products.
20.6 To the extent permitted by Applicable Law, claims concerning the sale, quality, description, fulfilment, return, refund or delivery of Products purchased from SOVAINE should be directed to SOVAINE.
20.7 Nothing contained herein shall be construed as requiring a Customer to waive any mandatory statutory right or remedy available against any party under Applicable Law.
21. PRIVACY AND PERSONAL DATA
21.1 Personal Data collected or processed through the Services shall be handled in accordance with SOVAINE's Privacy Policy.
21.2 By using the Services, you acknowledge that Personal Data may be processed for the purposes and in the manner described in the Privacy Policy, subject to Applicable Law and applicable consent requirements.
21.3 Third-party Service Providers may independently process information in accordance with their own applicable privacy notices.
21.4 The Privacy Policy is incorporated into these Terms by reference.
22. ERRORS, INACCURACIES AND OMISSIONS
22.1 While SOVAINE endeavours to maintain accurate information, the Services may occasionally contain typographical errors, inaccuracies, technical errors or omissions relating to:
(a) Product descriptions;
(b) Product pricing;
(c) availability;
(d) promotional offers;
(e) shipping charges;
(f) delivery estimates;
(g) Product specifications; or
(h) other information.
22.2 SOVAINE reserves the right, subject to Applicable Law, to correct such errors or omissions and to update information at any time.
22.3 Where an error materially affects an Order and the Order has not yet been fulfilled, SOVAINE may contact the Customer and provide an appropriate resolution, which may include cancellation and refund where legally permissible.
22.4 Nothing in this section shall permit SOVAINE to avoid any statutory obligation arising from an accepted transaction or applicable consumer law.
23. SERVICE AVAILABILITY AND MODIFICATIONS
23.1 SOVAINE does not guarantee that the Services will always be available, uninterrupted, secure, error-free or compatible with every device or browser.
23.2 SOVAINE may modify, suspend, restrict or discontinue any portion of the Services where reasonably necessary for:
(a) maintenance;
(b) upgrades;
(c) security;
(d) operational requirements;
(e) regulatory compliance;
(f) business restructuring; or
(g) other legitimate purposes.
23.3 Where commercially and legally appropriate, SOVAINE may provide notice of material service changes.
24. DISCLAIMER OF WARRANTIES
24.1 To the maximum extent permitted by Applicable Law, the Services are provided on an "as available" and "as reasonably available" basis.
24.2 SOVAINE does not represent or warrant that:
(a) the Services will be continuously available;
(b) the Services will be entirely error-free;
(c) all information will always be complete or current;
(d) the Services will be compatible with every device or configuration; or
(e) access to the Services will be free from every possible security threat.
24.3 Product-specific warranties, guarantees or statutory rights, where applicable, shall be governed by the terms expressly applicable to such Product and by Applicable Law.
24.4 Nothing in these Terms shall exclude, restrict or disclaim:
(a) liability that cannot lawfully be excluded;
(b) statutory consumer rights;
(c) liability arising from fraud or fraudulent misrepresentation; or
(d) any warranty or guarantee expressly provided by SOVAINE that is legally binding.
25. LIMITATION OF LIABILITY
25.1 To the maximum extent permitted by Applicable Law, SOVAINE, its directors, officers, employees, affiliates, contractors, licensors and Service Providers shall not be liable for indirect, incidental, special, exemplary or consequential loss arising solely from the User's use of the Services where such exclusion is legally permissible.
25.2 Such limitations may include, where legally permissible:
(a) loss of profits;
(b) loss of revenue;
(c) loss of anticipated savings;
(d) loss of business opportunity;
(e) loss of data;
(f) business interruption; or
(g) other indirect economic loss.
25.3 SOVAINE shall not be liable for loss caused exclusively by circumstances outside its reasonable control, including failures of independent third-party systems, telecommunications networks, payment infrastructure, logistics networks or force majeure events, subject always to Applicable Law.
25.4 Nothing in these Terms shall limit liability to the extent such limitation is prohibited under Applicable Law.
25.5 Nothing in these Terms shall deprive a consumer of a remedy that is mandatorily available under applicable consumer-protection law.
26. INDEMNIFICATION
26.1 To the extent permitted by Applicable Law, you agree to indemnify and hold harmless SOVAINE, HT Enterprises Private Limited, its affiliates, directors, officers, employees, contractors, Service Providers and licensors from third-party claims, losses, liabilities, damages, costs and reasonable legal expenses arising directly from:
(a) your material breach of these Terms;
(b) your unlawful use of the Services;
(c) your violation of Applicable Law;
(d) your infringement of a third party's intellectual property, privacy or other proprietary rights; or
(e) fraudulent or intentionally wrongful conduct attributable to you.
26.2 This indemnification obligation shall not apply to the extent that a claim arises from SOVAINE's own unlawful conduct, gross negligence or wilful misconduct where such exclusion is prohibited by Applicable Law.
26.3 SOVAINE shall, where reasonably practicable, provide notice of a third-party claim for which indemnification is sought.
26.4 Nothing herein shall prevent SOVAINE from taking reasonable measures necessary to protect its legal rights or interests.
27. SUSPENSION AND TERMINATION
27.1 SOVAINE may suspend, restrict or terminate a User's Account or access to all or part of the Services where reasonably necessary and legally permissible, including where:
(a) these Terms are materially breached;
(b) fraudulent or unlawful conduct is suspected;
(c) security risks are identified;
(d) the Account is being misused;
(e) the Services are being subjected to abusive automated activity; or
(f) continued access creates material legal, operational or security risk.
27.2 Where reasonably practicable and appropriate, SOVAINE may provide notice before taking such action, except where immediate action is reasonably necessary.
27.3 Termination shall not extinguish obligations or liabilities accrued prior to termination.
27.4 Provisions which by their nature are intended to survive termination shall continue, including provisions concerning intellectual property, privacy, limitation of liability, indemnification, dispute resolution, governing law and accrued obligations.
28. FORCE MAJEURE
28.1 SOVAINE shall not be liable for failure or delay in performing an obligation to the extent caused by circumstances beyond its reasonable control ("Force Majeure Event").
28.2 Force Majeure Events may include, without limitation:
(a) natural disasters;
(b) floods;
(c) earthquakes;
(d) epidemics or pandemics;
(e) war;
(f) terrorism;
(g) civil unrest;
(h) governmental restrictions;
(i) strikes or labour disruptions;
(j) transportation failures;
(k) telecommunications or internet failures;
(l) cyber incidents affecting third-party infrastructure;
(m) supply-chain disruption;
(n) courier or logistics disruption;
(o) power or infrastructure failures; or
(p) other comparable circumstances beyond reasonable control.
28.3 SOVAINE shall endeavour to mitigate the effects of a Force Majeure Event where reasonably practicable.
28.4 Nothing in this section shall operate to remove any mandatory statutory consumer remedy where Applicable Law expressly requires such remedy.
29. COMPLIANCE WITH CONSUMER-PROTECTION LAW
29.1 SOVAINE intends to conduct its ecommerce operations in accordance with applicable Indian consumer-protection and e-commerce requirements.
29.2 Nothing contained in these Terms shall be interpreted as:
(a) excluding statutory consumer rights;
(b) authorising misleading advertising;
(c) permitting unfair trade practices;
(d) preventing a lawful return or refund required by Applicable Law; or
(e) otherwise contracting out of a mandatory statutory protection.
29.3 In the event that any provision of these Terms conflicts with a mandatory provision of Applicable Law, the mandatory legal provision shall prevail to the extent of the inconsistency.
30. GOVERNING LAW AND JURISDICTION
30.1 These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to conflict-of-law principles to the extent such principles would result in the application of another jurisdiction's law.
30.2 Subject to mandatory statutory consumer rights and any jurisdiction conferred upon competent consumer commissions, regulatory authorities or other statutory bodies under Applicable Law, disputes arising from these Terms or the Services shall be subject to the jurisdiction of the competent courts having territorial jurisdiction over SOVAINE's principal place of business.
30.3 Nothing in this section shall prevent a consumer from exercising a statutory right to approach a competent consumer forum, commission, authority or other body where such jurisdiction is conferred by Applicable Law.
31. GRIEVANCE REDRESSAL
31.1 Customers may submit complaints, grievances or concerns relating to the Services, Products, Orders or these Terms through the contact details specified below.
31.2 SOVAINE shall endeavour to acknowledge and address complaints in accordance with its internal procedures and Applicable Law.
31.3 Where Applicable Law prescribes a specific grievance mechanism or response period, SOVAINE shall comply with such requirements.
32. ASSIGNMENT
32.1 The Customer shall not assign, transfer, delegate or otherwise dispose of any rights or obligations under these Terms without SOVAINE's prior written consent.
32.2 SOVAINE may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, financing, sale of business or assets, corporate reorganisation or other legitimate business transaction, subject to Applicable Law.
33. SEVERABILITY
33.1 If any provision of these Terms is determined by a competent court, authority or tribunal to be invalid, unlawful or unenforceable, such provision shall, to the extent legally permissible, be modified or severed.
33.2 The remaining provisions shall continue in full force and effect.
33.3 The invalidity or unenforceability of one provision shall not affect the validity or enforceability of any other provision.
34. WAIVER
34.1 No failure or delay by SOVAINE in exercising any right, power or remedy under these Terms shall constitute a waiver of that right, power or remedy.
34.2 Any waiver shall be effective only if expressly made in writing by an authorised representative of SOVAINE.
35. ENTIRE AGREEMENT
35.1 These Terms, together with the Policies and any expressly incorporated terms, constitute the entire agreement between SOVAINE and the User concerning the subject matter hereof, except to the extent superseded by a separate written agreement expressly executed between the parties.
35.2 These Terms supersede prior versions of SOVAINE's Terms of Service relating to the same subject matter.
35.3 In the event of an inconsistency between these Terms and a specific policy:
(a) the specific policy shall govern the subject matter expressly addressed by that policy; and
(b) these Terms shall govern all other matters.
35.4 No ambiguity in these Terms shall automatically be construed against either party solely by reason of which party drafted the relevant provision.
36. CHANGES TO THESE TERMS
36.1 SOVAINE reserves the right to modify, amend, supplement or replace these Terms from time to time.
36.2 Updated Terms shall be published through the Services together with the applicable revision date.
36.3 Where a change is material and Applicable Law requires additional notice, SOVAINE shall provide such notice through an appropriate mechanism.
36.4 Unless otherwise required by Applicable Law, the revised Terms shall become effective on the date specified in the updated Terms.
36.5 Continued use of the Services following the effective date of revised Terms may constitute acceptance of such revised Terms to the extent legally permissible.
36.6 Customers should periodically review the current version of these Terms.
37. NOTICES AND ELECTRONIC COMMUNICATIONS
37.1 By using the Services, you consent to receiving electronic communications from SOVAINE in connection with your Orders, Account, transactions, customer support requests, service administration and other matters permitted by Applicable Law.
37.2 Electronic communications may include:

account notifications;

shipping notifications;

refund notifications; and

notices displayed through the Services.
37.3 Electronic records shall, subject to Applicable Law, constitute valid records of communications between the parties.
